Vizibeat Export Compliance Notice

This notice supplements Section 32 of the Vizibeat End User License Agreement (“EULA”) and specifies the current jurisdictions, parties, and end uses from which participation in the Vizibeat service and use of the Vizibeat plugin (together, “Vizibeat”) is prohibited. This notice is incorporated by reference into the EULA. Capitalized terms not defined here have the meanings given in the EULA.
1. PROHIBITED JURISDICTIONS
Persons located in, ordinarily resident in, or nationals of any of the following jurisdictions may not access, download, install, activate, subscribe to, or otherwise use Vizibeat:
– Cuba
– Iran
– North Korea (Democratic People’s Republic of Korea)
– Syria
– The Crimea region of Ukraine
– The so-called Donetsk People’s Republic (DNR) region of Ukraine
– The so-called Luhansk People’s Republic (LNR) region of Ukraine
This list reflects comprehensive U.S. government embargoes administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC) and the U.S. Department of Commerce’s Bureau of Industry and Security (BIS) under the Export Administration Regulations (EAR). Empa3D LLC updates this list as U.S. law changes.
2. PROHIBITED PARTIES
Vizibeat may not be used by:
– Any person or entity listed on OFAC’s Specially Designated Nationals and Blocked Persons List (SDN List) or on any other OFAC sanctions list, including the Sectoral Sanctions Identifications (SSI) List, the Foreign Sanctions Evaders (FSE) List, or the Non-SDN Chinese Military-Industrial Complex Companies (NS-CMIC) List;
– Any person or entity listed on the U.S. Department of Commerce Entity List, Denied Persons List, or Unverified List;
– Any person or entity listed on the U.S. Department of State’s Debarred List or subject to a State Department nonproliferation sanction; or
– Any person or entity owned fifty percent (50%) or more, individually or in the aggregate, by any party described above.

3. PROHIBITED END USES
Regardless of Subscriber’s jurisdiction, Vizibeat may not be used, or permitted to be used, for or in furtherance of:
– Design, development, production, stockpiling, or use of nuclear, chemical, or biological weapons or other weapons of mass destruction;
– Design, development, production, or use of missiles or unmanned aerial vehicles capable of delivering such weapons;
– Military or intelligence end uses in countries subject to U.S. arms embargoes; or
– Any other activity prohibited by the U.S. Export Administration Regulations (EAR), the International Traffic in Arms Regulations (ITAR), or other applicable export-control or sanctions laws.
4. USE IN NON-LISTED JURISDICTIONS
Use of Vizibeat in jurisdictions not listed in Section 1 but subject to targeted or sectoral U.S. sanctions may be restricted for particular purposes, end users, or end uses. Subscribers in such jurisdictions are solely responsible for determining whether their specific use of Vizibeat is permitted under applicable U.S. and local law.
5. SUBSCRIBER REPRESENTATIONS
By accessing or using Vizibeat, Subscriber represents and warrants that they are not:
(a) located in, a national of, or ordinarily resident in any jurisdiction listed in Section 1;
(b) listed on, or owned fifty percent (50%) or more (individually or in the aggregate) by any party listed on, any list described in Section 2; or
(c) using, or intending to use, Vizibeat for any prohibited end use described in Section 3.
Subscriber shall notify Empa3D at legal@empa3d.com without undue delay if Subscriber’s status changes such that any representation in this Section becomes untrue during an active Subscription.
6. EMPA3D ENFORCEMENT
Empa3D may, at its discretion and consistent with applicable law:
(a) decline to activate or subscribe any user whose registration information indicates a prohibited jurisdiction, party, or end use;
(b) suspend or terminate the account of any user later determined to be in violation of this notice;
(c) block access to the Vizibeat Services from IP addresses associated with prohibited jurisdictions; and
(d) report violations to U.S. government authorities as required by law.
7. UPDATES
Empa3D updates this notice as U.S. law and sanctions regimes change. Material changes will be reflected by an updated “Last updated” date at the top of this page. The version displayed at https://vizibeat.com/export-compliance/ is the controlling version at any given time. Historical versions are available on request from legal@empa3d.com.
